Dilshan Fernando was appointed Chairperson of the Board of Directors of Tess Agro PLC at the company’s Annual General Meeting (AGM) held last Thursday (5), according to the provision of the Articles of Association of the company per the approval of the shareholders.
The outgoing Chairperson Sithy Faika Fernando, however, continues to serve the board as a Non-Executive Director.
Fernando holds 106,582,667 voting shares and 78,676 non-voting shares in the company, while Sithy Faika Fernando has no shares in the company at present.
In addition, in terms of Section 8 of the Listing Rules of the Colombo Stock Exchange (CSE), the company informed the CSE that the few changes were approved by the Shareholders of Tess Agro PLC.
Accordingly, Seraiah Druvinka Fernando has been appointed Executive Director, A.M.A. Carder as Independent Non-Executive Director, and Prof. Arthur Bammunuarachi as the Independent Non-Executive Director.
Further, in terms of Section 7.2 of the CSE Listing Rules, the company notified the CSE that the resolution of the resignation of Shiran Fernando was accepted considering the signed written notice of resignation and delivered to the office pursuant to section 207 (2) of the Companies Act No. 07 of 2007 and the appointment of Seraiah Druvinka Fernando as a Director of the company pursuant to section 205 of Companies Act No. 07 of 2007 were adopted unanimously by the shareholders at the AGM.
Fernando also has been the Chief Executive Officer (CEO) of the company for the past 30 years, having been involved in setting up projects in perishable handling, cold chain and export of perishables, software, and in the hospitality industry.
Moreover, he is the Chairman of J.S.R.G. Estates Ceylon Ltd. and ODB Ministries Sri Lanka and the Co-Founder/Managing Director of eGlobal Services (Pvt.) Ltd.
Fernando counts 30 years of experience in engineering and management and holds a master’s degree in business administration from the American University of Asia and is a Fellow Member of the Chartered Management Institute of the UK.
